End-User License Agreement (EULA)

Please read this End-User License Agreement (“Agreement”) carefully before downloading, installing, or using any software, code, digital assets, or tools (collectively, the “Software”) provided by Moai Media LLC.
By downloading, installing, or using the Software, you are agreeing to be bound by the terms and conditions of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, or use the Software.
1. License Grant
Moai Media LLC grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software solely for your personal or internal business purposes, strictly in accordance with the terms of this Agreement.
2. Restrictions on Use
You agree not to, and you will not permit others to:
- License, sell, rent, lease, assign, distribute, host, or otherwise commercially exploit the Software.
- Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software.
- Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Moai Media LLC or its affiliates.
3. Intellectual Property
The Software, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights, is and shall remain the sole and exclusive property of Moai Media LLC.
4. Privacy and Data Collection
The Software may utilize automated tracking tools to collect usage data and analytics to help Moai Media LLC improve the tool’s performance. No personal information is shared with third parties. All data collection is governed by our Privacy Policy available at moaimedia.net.
5. Term and Termination
This Agreement shall remain in effect until terminated by you or Moai Media LLC.
- Moai Media LLC may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
- This Agreement will terminate immediately, without prior notice from Moai Media LLC, in the event that you fail to comply with any provision of this Agreement.
- Upon termination, you must cease all use of the Software and delete all copies from your devices.
6. No Warranty
The Software is provided to you “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Moai Media LLC expressly disclaims all warranties, whether express, implied, statutory, or otherwise.
7. Limitation of Liability
Notwithstanding any damages that you might incur, the entire liability of Moai Media LLC under any provision of this Agreement and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you for the Software (if applicable) or $0 USD.
8. Governing Law
This Agreement and any dispute arising out of it shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law principles.
